At this meeting, we will also be farewelling our longstanding CEO, Peter Townsend after 29 years at the helm and welcoming our new CEO, John Yardley from Melbourne and previously Deputy CEO of Bank Australia.

59th Annual General Meeting of Coastline Credit Union Limited T/A Coastline Bank

Agenda
1. Annual Report
To consider and receive the Directors Report, Financial Statements and Audit Report.
2. Appointment of Directors
To consider, and if thought fit, to pass the following resolution:
That Mark O’Brien be appointed as a director.
Notes:
Mark O’Brien was appointed Director in 2023. He is the Chair of Coastline Bank’s Risk Committee and a valued member of the Audit Committee. Mark has over 20 years of senior leadership experience across diverse financial services sectors.
Currently running his own boutique consulting firm, Mark draws on his extensive expertise to help organisations thrive. Before establishing his consultancy business, Mark spent eight years at Regional Australia Bank, culminating in his appointment as Deputy CEO. In that role, he was instrumental in championing customer-centric and community-focused initiatives.
A passionate advocate for organisations like Coastline Bank, Mark believes in their ability to provide a genuinely refreshing alternative to the big banks.
Directors appointed at an AGM will hold office from the end of the AGM until the end of the third AGM after appointment, subject to the retirement by rotation provisions in the Constitution.
3. Directors Remuneration
To consider, and if thought fit, to pass the following resolution:
That aggregate Directors fees for the 2025/26 financial year be set at $585,570 including statutory superannuation and Director retirement benefit provision.
4. Appointment of Auditor
To consider, and if thought fit, to pass the following resolution:
That, subject to ASIC consenting to the resignation of NorthCorp Accountants and NorthCorp Accountants submitting a formal resignation to the Company, the Company appoint BDO Audit Pty Ltd as auditors of the Company.
Notes:
NorthCorp Accountants has given notice of their intention to resign as auditors of the Company (under section 329(5) of the Corporations Act 2001) subject to ASIC consent.
In accordance with section 328B(1) of the Corporations Act 2001, Coastline Credit Union Limited has sought and obtained a nomination from a shareholder for BDO Audit Pty Ltd to be appointed as the Company’s auditors.
A copy of the nomination is attached to this Notice of meeting as Annexure A.
BDO Audit Pty Ltd has given its written consent to act as the Company’s auditor subject to this resolution being approved. If approved, the appointment of BDO Audit Pty Ltd as the Company’s auditor will take effect once consent is received from ASIC.

Proxies
A member including a body corporate entitled to attend and vote at this meeting of the Credit Union is entitled to appoint a proxy to vote on their behalf. A proxy need not be a member of the Credit Union.
To have effect, proxy forms must reach Coastline Bank’s registered office, 64 Elbow Street West Kempsey NSW 2440 not later than 48 hours before the start of the meeting. Proxy forms are available by request via email to mail@coastline.com.au or by calling 1300 361 066.
